1. Introduction

These Terms of Service ("Terms") govern your access to and use of the website getparry.com (the "Website"), operated by Lyoen and Partners Limited ("L&P", "we", "our" or "us"), a company registered in Hong Kong at Unit B, 11/F Yam Tze Commercial Building, 23 Thomson Road, Wan Chai, Hong Kong.

By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, you must not use the Website. If you are accessing the Website on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

These Terms cover only the Website. They do not cover:

The PARRY web application at app.getparry.com, which is governed by separate terms and a dedicated privacy policy provided at the point of account creation.
L&P's consulting and advisory services described at lyoenandpartners.com, which are governed by the separate terms applicable to that website and by any engagement letter signed between you and L&P.

2. What the Website Is

The Website is the informational and marketing platform for PARRY, a Thought Partner product developed by L&P. It provides:

Product information, including descriptions of PARRY's modes (Before, During, After) and intended use;
A contact form through which visitors may enquire about PARRY, request beta access, or ask general questions;
A feedback drawer allowing visitors and beta testers to submit short, structured feedback on the Website and on PARRY;
A curated Insights selection — a subset of L&P's weekly governance Insights relevant to PARRY and its use cases;
Links directing visitors to the PARRY web application (app.getparry.com) for account creation and use of the product.

The Website does not host the BOS Diagnostic, the full Insights publication, the Insights newsletter subscription, interactive AI tools, or transactional services. The BOS Diagnostic, the full Insights stream and newsletter are hosted on lyoenandpartners.com. The PARRY product experience and account management are hosted at app.getparry.com. Each is governed by its own terms.

3. Contact Form, Feedback, and Access to the PARRY Web Application

3.1 Contact Form

When you submit the Website's contact form, you voluntarily provide contact details and a message. We use this information to respond to your enquiry and, where you request it, to initiate access to the PARRY web application. Our handling of this data is described in the Privacy Policy.

3.2 Feedback Drawer

The Website includes a feedback drawer in which visitors and beta testers may provide short, structured feedback. Submission is voluntary. The treatment of feedback as intellectual property is addressed in Section 6.3 below.

3.3 Access to the PARRY Web Application

Account creation and use of the PARRY web application occur at app.getparry.com under separate terms. The Website itself does not collect account credentials or application data. References on the Website to pricing, features, availability or service levels of the web application are indicative and are superseded by the terms applicable to the web application at the point of account creation.

4. Content on the Website

4.1 Product Descriptions

Product descriptions, comparisons and "what PARRY is / is not" content on the Website are illustrative of the product's current positioning. Features, pricing, availability and service terms relating to the PARRY web application are subject to change and are governed by the terms applicable to that application.

4.2 AI-Assisted Content and AI Transparency

Where the Website uses content summaries or product descriptions produced with the assistance of artificial intelligence, such content is labelled in accordance with applicable transparency obligations, including the EU Artificial Intelligence Act (Regulation 2024/1689). AI-assisted content is generated from curated public sources and is provided for general information only. It may be incomplete, inaccurate or directional. It is not a substitute for independent professional judgement.

No personal data submitted by visitors is used as input for any AI-assisted content on the Website.

4.3 Insights — AI-Assisted Content and Third-Party References

The Website displays a curated selection of L&P's weekly governance Insights — short editorial items on board governance, AI in the boardroom and related topics. Insights are produced by L&P with the assistance of artificial intelligence from curated public sources and are labelled accordingly under the EU Artificial Intelligence Act (Regulation 2024/1689). The full Insights publication is hosted at lyoenandpartners.com.

Insights displayed on the Website may cite or link to third-party articles, research and commentary. L&P does not endorse, verify, control or assume responsibility for the content of any third-party publication cited within an Insight. Inclusion of a reference does not imply any relationship with, or approval by, the author or publisher.

Insights are provided for information only. They may be incomplete, contain inaccuracies, reflect a directional perspective or become outdated. They are not professional advice.

5. No Professional Advice

Nothing on the Website — including product descriptions, AI-assisted content, Insights, or any other content — constitutes legal, financial, regulatory, tax, investment or strategic advice. Content is provided for general information and discussion purposes only.

You are solely responsible for how you interpret and act on any information obtained from the Website. You should consult qualified professionals before making decisions based on any content published on the Website.

6. Intellectual Property

6.1 L&P Intellectual Property

All intellectual property rights in and to the Website — including the PARRY name, brand, logo, visual avatar and any character representation associated with PARRY, PARRY product descriptions, user-interface design, software, documentation and any content published on the Website — are and remain the exclusive property of Lyoen and Partners Limited or its licensors ("L&P IP"). L&P IP is protected by copyright, trademark, trade secret, design rights, moral rights and other intellectual property laws.

The PARRY avatar — including any image, illustrated character, 3D or generative rendering used to personify PARRY — is a protected brand asset of L&P. No reproduction, adaptation, re-styling, derivative rendering or automated generation of the PARRY avatar is permitted without L&P's prior written consent.

The Board Operating System ("BOS") methodology, the 3×3 framework, and related governance methodologies referenced on the Website are also L&P IP and are described in greater detail on lyoenandpartners.com.

No right, title or interest in any L&P IP is transferred to you through your use of the Website. You may not reproduce, distribute, modify, create derivative works from, publicly display, or otherwise exploit any L&P IP without our prior written consent.

6.2 Trademarks

PARRY, the PARRY logo, the PARRY avatar and associated visual identity, and the Lyoen and Partners name and logo are trademarks of Lyoen and Partners Limited. All other trademarks, service marks and trade names appearing on the Website are the property of their respective owners. Use of any trademark, logo, avatar or brand element displayed on the Website without the express written consent of the trademark owner is strictly prohibited. Use of the PARRY avatar or any confusingly similar character representation in connection with goods or services in any jurisdiction is strictly prohibited.

6.3 Feedback

If you submit comments, suggestions, opinions, bug reports or ideas about the Website or PARRY through the feedback drawer, contact form or any other channel ("Feedback"), you assign to L&P all right, title and interest in and to such Feedback, including all intellectual property rights therein. To the extent such assignment is not effective under applicable law, you grant L&P a non-exclusive, worldwide, royalty-free, irrevocable, perpetual licence to use, reproduce, modify, adapt, publish, distribute, and create derivative works from such Feedback without restriction.

You waive all moral rights in any Feedback to the fullest extent permitted by law, including any right to be identified as the author or to object to modifications. Submitting Feedback does not entitle you to any compensation, credit or ownership interest in any L&P product or service.

7. Acceptable Use

You agree not to use the Website in any way that:

Violates any applicable law or regulation;
Infringes or misappropriates the intellectual property or other rights of any third party;
Introduces viruses, malware or other harmful code;
Attempts to gain unauthorised access to any part of the Website or its infrastructure;
Interferes with the proper functioning of the Website;
Submits false, misleading, automated or bulk submissions through the contact form or feedback drawer.

You may not access or use the Website from any jurisdiction subject to comprehensive sanctions by the United Nations, European Union, United States or United Kingdom, or if you are a person or entity designated under any applicable sanctions programme.

We reserve the right to restrict or terminate your access to the Website at any time, without notice, if we reasonably believe you have breached these Terms.

8. Third-Party Links

The Website contains links to third-party websites, services and resources, including sources cited within Insights and the PARRY web application at app.getparry.com. L&P does not endorse, control or assume responsibility for the content, privacy policies or practices of any third-party websites. Your use of third-party websites is at your own risk and subject to the terms applicable to those websites.

9. Disclaimer of Warranties

The Website and all content published on it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied or statutory. To the fullest extent permitted by law, L&P disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, non-infringement and freedom from errors.

L&P does not warrant that the Website will be available at all times, that it will be uninterrupted or error-free, that defects will be corrected, or that the Website or its servers are free of viruses or other harmful components.

10. Limitation of Liability

To the fullest extent permitted by applicable law:

L&P shall not be liable for any indirect, incidental, special, consequential, punitive or exemplary damages arising out of or in connection with your use of, or inability to use, the Website, including loss of profits, data, business opportunity or goodwill, even if L&P has been advised of the possibility of such damages.

L&P's total aggregate liability arising out of or in connection with the Website and these Terms shall not exceed one hundred US dollars (USD 100).

These limitations apply regardless of the legal theory on which the claim is based, including contract, tort (including negligence), strict liability or any other basis.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for fraud or fraudulent misrepresentation.

11. Indemnification

You agree to indemnify, defend and hold harmless L&P and its directors, officers, employees and agents from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable legal fees) arising out of or in connection with your use of the Website in violation of these Terms, your violation of any applicable law or regulation, or your infringement of any third-party rights.

12. Modifications

We reserve the right to modify these Terms at any time. The "Last updated" date at the top of this page indicates the most recent revision. Changes are effective upon posting to the Website. Your continued use of the Website after any modification constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be invalid, illegal or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the remaining provisions, which shall continue in full force and effect.

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms and any dispute arising out of or in connection with them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of England and Wales.

14.2 Dispute Resolution

Any dispute, controversy or claim arising out of or relating to these Terms, including their validity, invalidity, breach or termination, shall be resolved by arbitration administered by the Hong Kong International Arbitration Centre ("HKIAC") in accordance with the HKIAC Administered Arbitration Rules in force at the time of filing. The seat of arbitration shall be Hong Kong. The arbitration shall be conducted by a sole arbitrator. The language of the arbitration shall be English.

14.3 Injunctive Relief

Nothing in this Section 14 prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction where necessary to protect its rights or prevent irreparable harm.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy and Disclaimer, constitute the entire agreement between you and L&P regarding your use of the Website and supersede all prior agreements, understandings and communications, whether written or oral, relating to the subject matter hereof.
